Exclusive Licence Agreement
Nanocelle Virile has an exclusive licence agreement (the “Licence”) with Medlab Clinical US Inc. and associated entities. The Licence authorises use of the “Nanocelle Technology” — a fast-acting oro-buccal mouth spray — for all PDE5 inhibitor drugs used for erectile dysfunction, as well as any other category of medicine where PDE5 inhibitor drugs are used (the “Permitted Use”).
37 Patented Countries exclusive territory rights
Under the Licence, the Nanocelle Technology can be used by Nanocelle Virile for the Permitted Use exclusively in over 37 patented countries, including the United States, Canada, United Kingdom, Europe, Singapore, Hong Kong and New Zealand.
Nanocelle Virile also has rights to use the Nanocelle Technology as part of its manufactured particle product in all other non-patented countries in the world, to the exclusion of the Licensor.
Ownership of the End Product
Accordingly, Nanocelle Virile has exclusive licensing rights over the Nanocelle Technology in its agreed field, plus exclusive legal ownership of the end product and know-how generated through Nanocelle Virile’s manufacturing and development program.
The end product includes the product formulation and particle, analytical methods, development data, regulatory documentation, manufacturing knowledge, device integration and associated know-how.
Nanocelle Virile also holds the right to assign these interests to a third party seeking to acquire ownership of the Product and its related intellectual property, subject to the provisions of the Licence.
